General terms and conditions (AGB)
These Terms govern the use of EasyO by individual teachers and by schools and other institutions. Provider: Daniel Vayman, Zug, Switzerland. Swiss law applies; mandatory consumer protection remains unaffected. The German and English versions are binding; if they differ, the German version prevails.
1. Scope and provider
- These Terms of Service ("Terms") govern the use of EasyO (easyo.app), a web service for planning individual lessons (the "service").
- Provider: Daniel Vayman, sole proprietorship, Fridbachweg 9, 6300 Zug, Switzerland, contact@easyo.app, UID CHE‑326.557.429 (see Imprint) ("EasyO", "we", "us").
- "Customer" means either (a) a teacher who opens an account and uses it for themselves ("individual account"), or (b) a school, academy, music school or other organisation that subscribes for its teachers under section 16 ("Institution"). "You" means the customer and, where the context requires, every teacher using an account.
- The Data Processing Terms, the Privacy Policy and, for individual paid plans, the Refund Policy form part of these Terms. For Institutions, the accepted quote or order form also forms part of the contract. If documents conflict, this order applies: (1) the Institution's accepted quote or order form, (2) the Data Processing Terms for all data protection matters, (3) these Terms, (4) the Refund Policy.
- General terms of the customer (for example purchasing conditions) apply only if we accept them in writing. Mandatory public procurement law for public‑sector Institutions remains reserved.
2. Conclusion of the contract and eligibility
- For individual accounts, the contract is concluded when you create an account and accept these Terms. For Institutions, it is concluded when the Institution accepts our written quote (email is sufficient) or signs an order form.
- You must be at least 18 years old or have the consent of your legal representative, and you must be able to enter into binding contracts. If you accept these Terms for an Institution, you confirm that you are authorised to bind it.
- EasyO is intended for teaching activities. Students who submit their availability through a teacher's form do not enter into a contract with EasyO; the teacher (or the Institution) is responsible towards them, see section 6.
3. The service
- EasyO helps teachers plan individual lessons: managing academic years, workplaces (including travel times and breaks between lessons) and scheduling rules; collecting availability and preferred times from students through a public form; an automated timetable generator; manual editing; capacity estimates; exports; calendar feeds; and optional email notifications.
- The scope of each plan is described on our website and in Settings at the time of purchase. We develop EasyO continuously. We may change, replace or remove features if the core function (planning individual lessons based on students' availability) is preserved and the change is reasonable for you. We announce changes that significantly restrict paid features at least 30 days in advance; if such a change is to your disadvantage, you may terminate the affected paid plan and receive a pro rata refund of prepaid fees for the remaining term.
4. Plans: Starter and Full Version
- Starter is free and limited. It lets you try out manual scheduling. Starter does not include a working public availability form: the /t/<slug> collection link does not accept live submissions on Starter. Starter is not a free trial of the Full Version's collection or scheduling engine. We may change or discontinue Starter with 30 days' notice.
- The Full Version is a paid annual subscription. It unlocks live availability collection, automated timetable generation, email notifications, exports and the other paid features shown at checkout and in Settings.
- Teachers linked to an Institution receive Full Version features under the Institution's contract (section 16) instead of a personal subscription.
5. Individual paid plans: ordering, price, renewal and cancellation
- Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders of individual paid plans. Paddle provides all customer service inquiries related to payment and handles returns. Paddle's buyer terms also apply to the purchase.
- Prices, taxes and the billing period are shown at checkout. Access to Full Version features starts as soon as payment succeeds; by purchasing, you ask us to start providing the service immediately.
- The subscription runs for one year and renews automatically for one further year at a time unless you cancel before the renewal date. You can cancel at any time in Settings or through the Paddle customer portal (link in your Paddle receipt). Cancelling stops future renewals; the Full Version stays active until the end of the paid year.
- If a subscription ends or a payment fails, your account stays on the Full Version for a grace period of 3 days and then switches to Starter. Your data is kept (subject to section 12), and the paid features return as soon as you subscribe again.
- Refunds are governed by our Refund Policy and Paddle's buyer terms. Statutory rights, including any right of withdrawal you have as a consumer, remain unaffected.
- We may change prices for future subscription years. We inform you at least 30 days before the renewal; if you do not agree, you can cancel before the renewal.
6. Your data, students and data protection
- The content and data you enter or collect in EasyO ("customer data") remain yours. You grant us the rights needed to store, process, back up and display them in order to provide the service.
- For student and scheduling data, you (or, for linked teachers, the Institution) are the controller and EasyO is your processor. Our Data Processing Terms apply and are accepted together with these Terms.
- You are responsible for collecting and using customer data lawfully. In particular you must: inform students about the processing (for example with your own privacy notice or the notice shown on the form); have a legal basis for it, including the consent of the student's legal representative where the law requires it; collect only data needed for scheduling; and keep your data accurate.
- Only enter sensitive personal data (for example health information) where this is strictly necessary for scheduling and permitted by law.
- For account administration, billing status, security and the service improvement described in section 7, EasyO is the controller. Details are in our Privacy Policy.
7. Service improvement
- To improve the timetable generator, we keep pseudonymised records of generation runs and of the changes teachers make to generated timetables. Before storage, names are removed and student IDs are replaced by keyed hashes; lesson lengths, levels or grades, availability windows and scheduling rules are kept.
- We use these records only to develop and test EasyO's scheduling algorithms. We do not use them to contact students or teachers or to build profiles of them, and we do not sell or pass them on. For this purpose we act as a separate controller on the basis of our legitimate interest; as controller of the workspace data, you authorise this use.
- You (or your Institution) can switch this off at any time in Settings or by email to contact@easyo.app. The existing records for your account are then deleted. The records are also deleted when your account is deleted, and in any case after 24 months at the latest.
8. Account, security and acceptable use
- Keep your registration details accurate and your login details secret. Tell us immediately at contact@easyo.app if you suspect misuse. You are responsible for activity in your account unless you are not at fault.
- Some features (for example sending emails) require a verified email address. An account can be signed in on a limited number of devices at the same time (currently three); signing in on a further device ends the oldest session.
- Keep links to calendar feeds confidential: anyone who has the link can read the calendar.
- You must not: use EasyO unlawfully or for unlawful content; collect data you are not entitled to process; send advertising or other unsolicited messages through EasyO's email features; disrupt, overload, probe or automatically scrape the service beyond normal use; circumvent limits, plans or security measures; or give third parties access to your account, except teachers or staff authorised under an Institution's contract.
- Please report unlawful content or misuse to contact@easyo.app. We review reports and may remove content or restrict access where there is a legitimate reason.
9. Suspension
We may temporarily restrict or suspend an account, fully or partly, if there are concrete indications of a serious breach of these Terms, a security risk or unlawful use, or if an Institution does not pay after a reminder (section 16). We take your legitimate interests into account, choose the mildest effective measure and inform you unless this would defeat the purpose. We lift the measure as soon as the reason no longer applies.
10. Availability, support and backups
- We aim for high availability but do not guarantee uninterrupted or error‑free operation. Maintenance, security updates and events outside our control may cause interruptions; we schedule planned maintenance at low‑usage times where possible.
- We are not responsible for delays or outages caused by events we cannot control (for example failures of third‑party networks, power cuts, natural events or official measures) for as long as they last.
- Support is provided by email at contact@easyo.app on Swiss working days. Service levels apply only if agreed in an Institution's order form.
- We back up our systems regularly. You should still export important data regularly for your records (Excel, calendar or backup export).
11. Scheduling engine and your responsibility for timetables
- Automated placement, the capacity calculator, travel times, lunch windows, breaks and email notifications are planning tools. They do not guarantee a conflict‑free timetable, a particular result, or that every student can be placed.
- You set lesson lengths, frequencies, group sizes and availability rules. If the teaching time you want does not fit into the availability students provide, or if the rules are unrealistic, the generator may leave students unplaced. This is the expected behaviour of a scheduling solver, not a defect.
- Check generated timetables before you use or send them. EasyO offers settings for breaks between lessons, but you remain responsible for complying with employment, school and other rules that apply to you.
- Decisions about your lessons and your relationships with students and workplaces are your responsibility. Students being unhappy with your teaching offer is not a defect of EasyO.
12. Inactive accounts, account deletion and data export
- You can export your data and delete your account in Settings at any time.
- So that we do not keep data without a purpose, we delete inactive accounts: Starter accounts without a sign‑in within 30 days after registration (or after switching to Starter), and Starter accounts without a sign‑in for 90 days. Accounts that previously had a paid subscription are deleted after 120 days without a sign‑in. We send a warning email at least 14 days before deletion; signing in stops the deletion. Accounts with an active paid subscription or Institution contract are never deleted for inactivity.
- When an account is deleted, we remove the customer data from our live systems and then from backups in the regular backup cycle, unless the law requires us to keep it (for example accounting records). Students you delete stay in the trash for 7 days and are then permanently deleted.
13. Intellectual property
- EasyO, including its software, design, texts and algorithms, belongs to us or our licensors. For the duration of the contract you receive a non‑exclusive, non‑transferable right to use the service in accordance with these Terms. You may not copy, modify, reverse engineer or resell the service, unless mandatory law allows it.
- Your timetables and exports belong to you. If you send us feedback or suggestions, we may use them freely to improve EasyO without any obligation towards you.
14. Warranty
- We provide the service with due care and in line with the plan description. Please report defects with a description to contact@easyo.app; we fix reproducible defects within a reasonable time.
- Beyond this we give no guarantees, in particular not that the service is suitable for a specific purpose or that all students can be placed. Starter is provided free of charge and as it is.
- Mandatory statutory rights, in particular consumer rights, remain unaffected.
15. Liability
- We are liable without limitation for damage we cause intentionally or through gross negligence, for personal injury, and wherever liability cannot be limited by law, in particular under product liability law.
- For slight negligence, our liability is limited to direct damage and, in total per contract year, to the higher of (a) the fees paid for the service in the twelve months before the event causing the damage and (b) CHF 100. For Institutions, the fees paid by the Institution are decisive. For slight negligence we are not liable for indirect or consequential damage, lost profit, lost earnings, or loss of data that regular exports would have prevented.
- To the extent permitted by law, these limitations also apply to our auxiliaries and subcontractors (Art. 101 of the Swiss Code of Obligations).
- If mandatory consumer protection law in your country of residence provides otherwise, that law prevails.
16. Institutional subscriptions
- Contract. An Institution subscribes to EasyO for its teachers by accepting our quote (email is sufficient) or signing an order form. The quote or order form sets out the fee, the student band (maximum number of students), the term and any special conditions.
- Invoicing and payment. Institutional plans are invoiced directly by EasyO, not through Paddle. Section 5 and the Refund Policy do not apply to them. Fees are stated excluding value added tax; VAT is added where we are required to charge it. Unless the order form states otherwise, fees are invoiced annually in advance and are payable within 30 days of the invoice date. When the payment period expires, the Institution is in default without a reminder; default interest of 5% per year applies (Art. 104 of the Swiss Code of Obligations). If an invoice is still unpaid 14 days after a reminder, we may suspend Full Version features for the Institution's linked teachers until payment.
- Term and renewal. Unless the order form states otherwise, the term is 12 months and renews for a further 12 months at a time unless either party cancels in writing (email is sufficient) at least 30 days before the end of the term. We may change the fees for a renewal period if we inform the Institution at least 60 days before the end of the current period. Public‑sector Institutions whose budget or procurement law does not allow automatic renewal can exclude it in the order form.
- Student band. Students are counted across all linked teachers, as shown in the school console. The Institution can request a change of band at any time; increases apply immediately and are invoiced pro rata, reductions apply from the next renewal. If the number of students exceeds the contracted band for more than 30 days, we contact the Institution and may then invoice the next band pro rata for the rest of the term.
- Administrators and linked teachers. The Institution names one or more administrators. They manage the teacher roster, student IDs, billing and seats; they do not see the teachers' lesson data. Teachers link their own EasyO account at the Institution's invitation. The Institution ensures that its administrators and linked teachers comply with these Terms and promptly removes people who should no longer have access.
- Data protection. For data that linked teachers process for the Institution, the Institution is the controller and EasyO is its processor under the Data Processing Terms; a countersigned copy is available on request. The obligations in section 6 apply to the Institution. The Institution and its teachers agree between themselves who may use which data; while a teacher is linked, EasyO follows the instructions of the Institution as controller.
- End of the contract or unlinking. When the Institution's contract ends or a teacher is unlinked, the teacher's EasyO account continues as an individual account (on Starter unless the teacher subscribes). Unless the Institution instructs otherwise in writing before the end of the contract or the unlinking, its instruction is that the student and scheduling data remain in the teacher's account; from then on the teacher is the controller of that data. If the Institution instructs deletion, we inform the teacher and delete the student data processed for the Institution 30 days after that notice.
- No refunds. Fees already invoiced are not refunded if the Institution uses fewer seats or ends the contract early, unless the order form or mandatory law provides otherwise or we terminate without good cause under section 17.
- Confidentiality. Both parties keep non‑public information of the other party that they receive in connection with the contract (for example prices and security information) confidential for the duration of the contract and for two years afterwards, unless disclosure is required by law.
- Liability. Section 15 applies; the liability cap is based on the fees paid by the Institution.
- Public procurement. Where mandatory procurement law or cantonal data protection law requires different or additional conditions for a public‑sector Institution, these can be agreed in the order form and take precedence.
17. Term and termination
- Individual accounts run for an indefinite period. You can stop using EasyO and delete your account at any time; paid subscriptions end as described in section 5.
- We may terminate the contract by email with at least 60 days' notice, for example if we discontinue the service. We refund prepaid fees for the period after termination pro rata. Until the end, you can export your data.
- Either party may terminate with immediate effect for good cause, in particular for serious or repeated breaches of these Terms after an unsuccessful warning, where a warning is reasonable.
- After termination, we delete customer data as described in section 12 and in the Data Processing Terms.
18. Indemnity
If a third party (for example a student, a workplace or an authority) makes a claim against us because you have culpably breached these Terms or data protection law in connection with the data you collect or enter, you indemnify us against that claim, including reasonable costs of legal defence. We inform you promptly and allow you to take part in the defence.
19. Changes to these Terms
- We may change these Terms for valid reasons, for example changes in legislation or case law, new features, security requirements, or changes in our subcontractors or market conditions. We do not change essential contract content (in particular the main features of your plan and the price of a paid period already running) to your disadvantage without your consent.
- We inform registered users by email at least 30 days before changes take effect. If you do not agree, you can terminate before the effective date; we refund prepaid fees for the remaining term pro rata. If you continue to use EasyO after the effective date without objecting, the amended Terms apply. We point this out in the notice.
- Purely editorial changes, or changes solely in your favour, can take effect immediately.
20. Transfer of the contract
We may transfer this contract with all rights and obligations to a company controlled by the provider (for example a future EasyO company) or to a successor of the business. We inform you at least 30 days in advance; you can terminate before the transfer takes effect and receive a pro rata refund of prepaid fees. You may transfer the contract only with our written consent.
21. Notices and communication
We communicate with you mainly by email to the address in your account (for Institutions: to the contact named in the order form). Notices by email satisfy any written form requirement under these Terms, unless mandatory law requires a signature. Contact point for users and authorities: contact@easyo.app (German or English).
22. Governing law and place of jurisdiction
- These Terms are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and the conflict‑of‑law rules of Swiss private international law.
- If you are a consumer, you keep the protection of the mandatory provisions of the law of your country of residence, and you can bring proceedings at your place of residence; proceedings against you can only be brought there.
- For all other customers, in particular Institutions and teachers acting in the course of their profession or business, the exclusive place of jurisdiction is Zug, Switzerland. We may also bring proceedings at the customer's seat or residence. Mandatory places of jurisdiction remain reserved.
23. Language and final provisions
- These Terms are available in German and English; both versions are binding. If they differ, the German version prevails. Translations into other languages are for information only.
- If a provision is invalid or unenforceable, the remaining provisions stay in force. To the extent permitted by law, the invalid provision is replaced by a valid one that comes as close as possible to its economic purpose; the same applies to gaps.
- Together with the documents listed in section 1, these Terms form the entire agreement on their subject matter. Individual agreements take precedence.
